1. Agreement to Terms

By accessing or using the services provided by Marketing4Effect (“M4E,” “we,” “us,” or “our”), including the Business Growth Engine (“BGE”) platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services, including the BGE platform at crm.marketing4effect.com and our marketing agency services.

2. Description of Services

Marketing4Effect provides digital marketing services and operates the Business Growth Engine (BGE), a customer relationship management platform that integrates with WhatsApp Business API, email, and SMS to help businesses communicate with their customers.

Our services include but are not limited to:

• WhatsApp Business API integration and messaging
• Customer relationship management and contact management
• Marketing campaign creation and management
• AI-powered chatbot and automated messaging
• Analytics, reporting, and business insights
• Digital marketing strategy and consulting

3. Account Registration

To use the BGE platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorised access to your account
• Immediately notify us if you discover or suspect any security breaches related to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use our services to:

• Send unsolicited messages (spam) or violate anti-spam laws
• Violate any applicable laws, regulations, or third-party rights
• Send messages that are harassing, threatening, defamatory, or otherwise objectionable
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use the platform for any illegal or fraudulent purpose
• Violate Meta'/WhatsApp Business policies, including the WhatsApp Business Messaging Policy and Commerce Policy
• Interfere with or disrupt the integrity or performance of our services

5. WhatsApp Business API Usage

Our platform integrates with the WhatsApp Business API provided by Meta Platforms, Inc. By using our WhatsApp messaging features, you additionally agree to:

• Comply with the WhatsApp Business Messaging Policy
• Obtain proper consent from recipients before sending messages
• Use approved message templates for business-initiated conversations
• Respect opt-out requests and maintain accurate opt-out records
• Not use WhatsApp messaging for prohibited content categories as defined by Meta

We reserve the right to suspend your WhatsApp messaging capabilities if your usage violates Meta's policies or results in quality rating degradation.

6. Fees and Payment

Certain features of our services may be subject to fees. You agree to pay all applicable fees as described in your service agreement or subscription plan. Fees are quoted in Nigerian Naira (NGN) unless otherwise specified.

• Fees are billed in advance on a monthly or annual basis
• WhatsApp message fees charged by Meta are passed through at cost and billed separately
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated in your service agreement

7. Intellectual Property

The BGE platform, including its design, features, code, and content, is owned by Marketing4Effect and protected by intellectual property laws. You retain ownership of your data and content uploaded to the platform.

You grant us a limited licence to use, store, and process your content solely for the purpose of providing our services to you. This licence terminates when you delete your content or close your account.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the Nigeria Data Protection Regulation (NDPR) and, where applicable, the General Data Protection Regulation (GDPR).

You are responsible for ensuring that your use of our services complies with applicable data protection laws, including obtaining necessary consents from your customers before processing their personal data through our platform.

9. Service Availability and Modifications

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may:

• Modify, suspend, or discontinue any part of our services with reasonable notice
• Perform scheduled maintenance that may temporarily affect service availability
• Update features and functionality to improve the platform

Third-party service availability (including WhatsApp Business API, email providers, and SMS gateways) is outside our direct control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Marketing4Effect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate the service relationship at any time. Upon termination:

• Your access to the BGE platform will be deactivated
• You may request export of your data within 30 days of termination
• We will delete your data in accordance with our Privacy Policy and data retention schedule
• Outstanding fees remain payable

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
